Conditions of Use for Antidote Applications and Websites

These conditions of use apply to you, the user of any Antidote Applications or Websites, as these expressions are defined below:

  • Antidote 12 and prior editions for installation on a computer, Antidote Web for access through a browser on antidote.app, as well as Antidote Mobile for iPhone and iPad (“Applications”)
  • The websites www.antidote.info and www.druide.com, as well as the services which they allow you to access, such as your Client Portal from services.druide.com and the Help Center from assistance.druide.com (“Websites”)

By using any of the Applications or Websites, you acknowledge that you are bound by these conditions and you agree to comply with them. If you disagree with any of these conditions, including the Privacy Policy for Antidote’s Sites and Applications, you must immediately cease using the Applications and Websites.

1. Property and copyright

With the exception of certain texts and images free of copyright or whose rights are clearly attributed to third parties, all materials contained in the Applications and the Websites (logos, graphics, images, texts, concepts, algorithms and other materials) as well as the selection, arrangement and displaying of these materials belong exclusively to Druide informatique inc. (“Druide”) and are protected by Canadian copyright law and international treaties governing copyright. Antidote, Anti-Oops!, Typing Pal and WebElixir are registered trademarks of Druide. All other products mentioned in the Applications and the Websites are trademarks of their respective owners.

2. Usage

The Applications and Websites are at your disposal for personal and non-commercial use. You cannot host, circulate, rent, sell or distribute the Applications or the information and services provided by the Applications and Websites. You cannot assign your rights to the Applications to a third party. It is forbidden to modify, translate, decompile or disassemble the Applications, perform reverse engineering on the Applications, or create derivative works from the Applications.You are also prohibited from copying the Applications or systematically extracting their content. Druide authorizes you to display or reproduce information provided by the Applications and Websites on the condition that it be for personal and private use; all public and commercial use is strictly prohibited. All copyrights, trademarks, or other proprietary notices must be reproduced as they appear in the Applications and Websites.

3. Purchases

Druide reserves the right to modify the price of the Applications at any time and without notice. Such a modification does not affect a subscription that has not expired and whose fees have already been paid in full. Payments for Applications are not refundable. No credit is issued, even for a period of partial use.

4. Links to third-party sites

As a service to its users, Druide may provide hyperlinks from the Applications and Websites to third-party websites. Druide does not control these websites, and as a result cannot be held responsible for their content. By providing hyperlinks, Druide does not in any way endorse the contents of these websites.

5. Modifications

Druide reserves the right to modify, add or remove any material in the Applications and Websites, at any time and without notice.

6. Damages waiver

The Applications and the Websites are provided on an “as is” basis; no form of guarantee is offered. You assume all risks associated with the use of the Applications and the Websites. Druide does not guarantee that they will meet your needs or that their operation is entirely error-free. You waive any right to hold Druide liable for any damages arising from the use of or inability to use the Applications or the Websites (including damages caused by the loss of profits, business interruption or loss of information), even if Druide had received prior notice of the possibility of such damages.

7. Suspension and revocation

If you do not respect these conditions of use, Druide can suspend or revoke your access to the Applications and Websites at any time, without prior notice or any possibility of a refund. In such an event, you must cease using the Applications. You must also, if applicable, uninstall the Applications and destroy all copies thereof.

8. Personal information

Personal information and data registered on the Applications and Websites are governed by the Privacy Policy for Antidote Applications and Websites, which you acknowledge having read and understood. In contrast to your personal information, any comments, suggestions or other information provided to Druide concerning the Applications and Websites are considered to be non-confidential. You acknowledge that Druide may use them in any way, including in the development, production and marketing of its products or services without any restriction or obligation to provide remuneration.

9. Hosting

The Applications and the Websites are hosted in Canada and are administered from Druide’s Canadian offices.

10. Applicable laws and jurisdiction

These conditions of use are governed by and construed under the laws applicable in the Province of Quebec, Canada. You irrevocably acknowledge the jurisdiction of the courts of the Province of Quebec and agree to submit any dispute that may arise from the use of the Applications or Websites to the competent courts located in the judicial district of Montréal, Province of Quebec. However, any dispute that arises from a breach of copyright may also be submitted, at Druide’s discretion, to the competent courts located in the judicial district of the defendant.
